1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and D.M.H Technologies ("Company", "we", "us", or "our"), governing your access to and use of the TaxDash platform available at national-tax-app.vercel.app (the "Service").

By creating an account, accessing, or using the Service, you confirm that you are at least eighteen (18) years of age, that you are a resident of or have a tax obligation in the Republic of Trinidad and Tobago, and that you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

These Terms are governed by the laws of the Republic of Trinidad and Tobago.

2. Description of Service

TaxDash is an AI-powered tax preparation tool that assists individuals and sole traders in the Republic of Trinidad and Tobago with preparing their income tax returns. The Service includes:

  • TD4 Document Scanning: AI-powered extraction of data from uploaded TD4 employer slips.
  • Tax Calculation: automated computation of income tax, business levy, health surcharge, deductions, and credits based on the data you provide and the applicable tax laws of Trinidad and Tobago.
  • Tax Form Generation: generation of completed tax return forms (TD1, Form 400 ITR, Schedule E, Profit and Loss statements) in downloadable PDF format.
  • Tax Assistant: an AI-powered chatbot ("Ibis") that provides general tax information and guidance.

3. Nature of Service — Important Disclaimer

TaxDash is a tax preparation tool, not a tax advisory service. The Service is designed to assist you in organising your financial information and generating tax return forms. TaxDash does not provide tax advice, legal advice, financial advice, or accounting services.

The Company is not a registered tax practitioner, chartered accountant, or legal professional. The calculations, forms, and information provided by the Service are generated based on the data you input and our understanding of the applicable tax laws. They are provided for informational and preparation purposes only.

You are solely responsible for reviewing all forms and calculations generated by the Service for accuracy and completeness before filing with the Inland Revenue Division (IRD) or any other authority. We strongly recommend that you consult with a qualified tax practitioner or chartered accountant before submitting any tax return, particularly if your tax situation is complex.

The Company shall not be held liable for any errors, omissions, penalties, interest, or additional tax assessments that may arise from the use of the Service. By using the Service, you acknowledge and accept this limitation.

4. User Account

4.1 Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Accuracy of Information

You represent and warrant that all information you provide to the Service, including personal details, employment income, business revenue, expenses, and deduction claims, is true, accurate, and complete to the best of your knowledge. The accuracy of the tax forms generated by TaxDash depends entirely on the accuracy of the data you provide.

4.3 Account Security

You must notify us immediately of any unauthorised access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

5. Fees and Payment

5.1 Pricing

TaxDash offers its services on a per-filing-season basis. Current pricing is displayed on the Pricing page of the Service. Prices are quoted in Trinidad and Tobago Dollars (TTD) and are inclusive of all applicable taxes unless otherwise stated.

5.2 Payment

Payment is required before you may download completed tax return forms. We accept payment through the payment methods displayed on the Service. All payments are processed by third-party payment providers and are subject to their respective terms of service.

5.3 Refund Policy

Due to the nature of digital tax preparation services, refunds are generally not available once tax return forms have been generated and downloaded. However, if you experience a technical error that prevents the Service from functioning as described, you may contact us within seven (7) days for a review of your case. Refund requests will be assessed on a case-by-case basis at our discretion.

6. Acceptable Use

You agree to use the Service only for its intended purpose of personal tax preparation. You shall not:

  • Use the Service to prepare tax returns for third parties on a commercial basis without our prior written consent.
  • Upload documents that are fraudulent, falsified, or belong to another person without their authorisation.
  • Attempt to reverse-engineer, decompile, or extract the source code or algorithms of the Service.
  • Use automated systems, bots, or scripts to access the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service for any purpose that is unlawful under the laws of Trinidad and Tobago.

7. Intellectual Property

The Service, including its design, code, AI models, branding, logo, text, and all related materials, is the intellectual property of D.M.H Technologies and is protected by the copyright and intellectual property laws of the Republic of Trinidad and Tobago and applicable international treaties.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal tax preparation purposes only. This licence does not transfer any ownership rights to you.

The tax return forms generated by the Service for your use are your property. However, the templates, formatting, and branding elements of TaxDash remain our intellectual property.

8. Artificial Intelligence Disclaimer

The Service uses artificial intelligence and machine learning technologies to extract data from documents and assist with tax calculations. While we strive for accuracy, AI systems can make errors. Specifically:

  • The AI document scanning feature may occasionally misread, misinterpret, or fail to extract data from uploaded documents, particularly if the document quality is poor, the format is unusual, or the document is handwritten.
  • The AI tax assistant (Ibis) provides general tax information based on its training data and is not a substitute for professional tax advice. Its responses may not always reflect the most current tax laws or regulations.
  • You must always review all AI-extracted data and AI-generated calculations for accuracy before relying on them.

9. Limitation of Liability

To the maximum extent permitted by the laws of Trinidad and Tobago, the Company, its directors, officers, employees, and agents shall not be liable for:

  • Any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
  • Any errors, inaccuracies, or omissions in the tax forms, calculations, or information generated by the Service.
  • Any penalties, interest, additional tax assessments, or other consequences imposed by the Inland Revenue Division or any other authority as a result of tax returns prepared using the Service.
  • Any loss of data, unauthorised access to your account, or interruption of the Service.
  • Any reliance you place on information provided by the AI tax assistant.

In no event shall our total liability to you for all claims arising from or related to the Service exceed the amount you paid to us for the Service in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless D.M.H Technologies, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Service; (b) your breach of these Terms; (c) the inaccuracy of any information you provide; (d) any tax returns filed based on forms generated by the Service; or (e) your violation of any applicable law or regulation.

11. Service Availability and Modifications

We strive to maintain the availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue the Service or any feature thereof at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that may affect your use of the Service.

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or used the Service in a manner that may cause harm to us or other users.

Upon termination, your right to use the Service will cease immediately. We will retain your data in accordance with our Privacy Policy and applicable legal retention requirements.

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be addressed through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts of the Republic of Trinidad and Tobago, which shall have exclusive jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and, where appropriate, by email. The "Last Updated" date at the top of these Terms indicates the most recent revision. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and the Company with respect to the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago.
